1. Acceptance of Terms
By downloading, installing, or using any e-Kirana application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to:
- e-Kirana — Customer shopping app
- e-Kirana Delivery — Delivery partner app
- e-Kirana Companion — Companion app for shopkeepers
- e-Kirana Desktop — Point-of-sale application for shop owners
2. Description of Service
e-Kirana is a software platform that connects local kirana (grocery) store owners with their customers and delivery partners. The platform enables:
- Inventory management and online catalog publishing
- Order placement and tracking by customers
- Delivery management and real-time route tracking
- Automated UPI payment verification
- Customer relationship management for shop owners
S3agents ("we", "us", or "our") provides the software platform. We are not a retailer, delivery service, or payment processor. Individual shop owners are responsible for their product quality, pricing, and delivery operations.
3. User Accounts
Different apps use different authentication methods:
- Customer App: Google Sign-In is required. One account per Google account.
- Delivery App: QR code-based authentication provided by the shop owner. No personal Google account required.
- Companion App: Paired via QR code with the e-Kirana Desktop application. No standalone account.
- Desktop App: Licensed via Google Sign-In with a valid subscription.
You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to:
- Place fraudulent orders or provide false delivery information
- Misuse the payment verification system to falsify transaction data
- Attempt to reverse-engineer, decompile, or disassemble the software
- Use the Service to violate any applicable law or regulation
- Interfere with or disrupt the integrity or performance of the Service
- Access the Service through automated means (bots, scrapers) without authorization
- Upload malicious content, viruses, or harmful code
5. Subscriptions and Payments
The e-Kirana Desktop application requires a paid subscription. Payments are processed through Razorpay. Subscription terms, pricing, and billing cycles are displayed during purchase and in your account dashboard.
- All prices are displayed in Indian Rupees (₹) and include applicable GST
- Subscriptions auto-renew unless cancelled before the renewal date
- Refunds are handled on a case-by-case basis; contact us within 7 days of purchase
- We reserve the right to modify pricing with 30 days advance notice
6. Intellectual Property
The e-Kirana platform, including its code, design, trademarks, and content, is owned by S3agents. Your use of the Service does not grant you any ownership rights. You retain ownership of data you input into the Service (product catalogs, customer information, order history).
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.
8. Limitation of Liability
To the maximum extent permitted by applicable law, S3agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
We do not guarantee the accuracy of payment verifications, delivery times, or product availability. These are the responsibility of the individual shop owner.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The e-Kirana Desktop application includes offline functionality — core POS operations continue to work without an internet connection. However, features requiring network connectivity (order sync, delivery tracking, payment verification) require an active connection.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the platform. Upon termination:
- Your right to use the Service ceases immediately
- Your data may be retained for legal and accounting purposes as required by law
- You may request a copy of your data by contacting us
11. Delivery Partner Specific Terms (e-Kirana Delivery)
This section applies in addition to the Terms above if you use the e-Kirana Delivery app as a delivery partner.
11.1 Software-only relationship
S3agents provides software. We are not your employer, agent, contractor, partner, or principal. Your work relationship is with the shop owner who issued you the QR code that you used to log in.
Anything related to your hours, pay, deductions, vehicle, fuel, insurance, KYC, background checks, cash collection, customer disputes, leave, suspension, or termination of your engagement is between you and the shop owner. Please contact the shop owner directly for these matters — we cannot help with them.
11.2 GPS consent
By logging into the e-Kirana Delivery app, you consent to GPS-based location tracking by the app for the duration that you are logged in. Your live location is shared in real time with (i) the shop owner who issued your QR code, and (ii) the customer for whom you are delivering, for the purposes of delivery routing, accurate ETA, and proof-of-delivery verification.
Tracking ceases when you log out or when the active delivery batch ends. We do not store your GPS history on our servers — see the Privacy Policy, Section 5, for details.
11.3 Acceptable use
You agree that you will not:
- Disable GPS, use fake-GPS apps, or otherwise interfere with the location reported by the app while logged in
- Tamper with delivery records (amount collected, items delivered, payment method) to misrepresent what occurred
- Reverse-engineer, decompile, or attempt to extract credentials or data from the app
- Use customer information made visible to you for any purpose other than completing the active delivery, including any contact with the customer outside the delivery context
- Harass, intimidate, or behave abusively toward customers, shop staff, or other delivery partners through any feature of the app
11.4 Suspension of app access
We may suspend or revoke your access to the e-Kirana Delivery app if we have a reasonable basis to believe that you have violated Section 11.3, attempted to compromise the security or integrity of the app, or are engaged in fraud or other unlawful conduct affecting the platform.
This is separate from any employment-related action by your shop owner.A suspension of app access by us does not by itself end your engagement with the shop owner; nor does the shop owner's decision to end your engagement obligate us to revoke app access. Each is a distinct decision by a distinct party.
11.5 Confidentiality of customer data
The customer information you can see during an active delivery (name, phone number, address, items, amount, payment method) is confidential to the shop owner. You may use it only to complete the assigned delivery and you must not store, copy, share, or use it for any other purpose. Any local copies on your device are erased automatically when the delivery batch ends.
11.6 No warranty for delivery outcomes
The e-Kirana Delivery app is provided "as is" and "as available". S3agents makes no representation about delivery outcomes, customer behaviour, payment receipt, or your earnings, all of which are determined by the shop owner and the customer, not by us.
11.7 Liability for software issues
To the maximum extent permitted by law, S3agents' total aggregate liability to you arising out of your use of the e-Kirana Delivery app, for any claim of any kind, is limited to ₹1,000 (Indian Rupees one thousand). We are not liable for any loss arising from delivery outcomes, missed orders, lost or stolen cash, traffic accidents, customer disputes, or actions by the shop owner — those matters are between you, the shop owner, and the customer.
11.8 Privacy
Your use of the e-Kirana Delivery app is governed by our Privacy Policy, including Section 5 (Background Location), Section 5b (information shown to delivery partners about customers), and Section 9 (your rights, including the in-app "Delete my local app data" button).
12. Modifications to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms. For material changes, we will provide notice through the app or via email.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
